Tour Management Made Right Inc – END USER AGREEMENT

**1. Introduction**

This End User Agreement (“Agreement”) governs the use of the software application, TMMR, (“Software”) provided by TOUR MANAGEMENT MADE RIGHT, INC (“Company”). By downloading, installing, or using the Software, you (“User”) agree to be bound by the terms of this Agreement.

**2. License Grant**

Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable license to use the Software for business purposes.

**3. User Obligations**

You agree to:

– Use the Software only in accordance with applicable laws and regulations.

– Not modify, reverse-engineer, or distribute the Software without prior written consent from the Company.

– Not use the Software for any unlawful or unauthorized purpose.

**4. Charges for Services**

After 30 days of use, the Company will begin charging for the use of the Software. The charges will include:

– A monthly fee of 19.95.

– A per transaction fee of $1.50 (USD) for each transaction processed through the Software.

You will be notified of any changes in fees at least 30 days in advance.

**5. Ownership**

The Software is licensed, not sold. The Company retains all rights, title, and interest in and to the Software, including all intellectual property rights.

**6. Termination**

This Agreement is effective until terminated. You may terminate this Agreement by ceasing to use the Software. The Company may terminate this Agreement and your access to the Software at any time, for any reason, and without notice. Upon termination, you must cease all use of the Software.

**7. Disclaimer of Warranties**

The Software is provided “as is” without any warranties of any kind, either express or implied. The Company does not warrant that the Software will meet your requirements or be uninterrupted, secure, or error-free.

**8. Limitation of Liability**

To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Software.

**9. Indemnification**

You agree to indemnify, defend, and hold harmless the Company and its affiliates from any claims, damages, losses, liabilities, or expenses arising out of your use of the Software or your violation of this Agreement.

**10. Governing Law**

This Agreement shall be governed by and construed in accordance with the laws of California. Any disputes arising under this Agreement shall be resolved in the courts of Sonoma County California.

**11. Changes to the Agreement**

The Company reserves the right to modify this Agreement at any time. Any changes will be effective upon posting ton our website. Your continued use of the Software after any changes constitutes your acceptance of the new terms.
